Metaplanet Inc. shares listed on the Tokyo Stock Exchange Standard Market under ticker 3350 closed at 244 yen on September 8, 2026, down 27 yen or 9.96% on the day.
Market data from Yahoo Finance shows that the stock opened at 261 yen and closed the session at 244 yen with 34.515 million shares traded. The move followed investor questions about the company’s 10th Series stock acquisition rights and the relationship between Chief Executive Officer Simon Gerovich and MMXX Ventures Limited, a disclosed shareholder.
The company adopted a Bitcoin treasury strategy in 2024 and has used equity issuance among other tools to fund additional holdings. That capital-raising activity interacted with the original terms of an executive compensation instrument first authorized years earlier.
Option pool amendment and share exercise
On August 18, 2026, Metaplanet’s board resolved to amend the issuance terms of the 10th Series Stock Acquisition Rights. The official notice states that the company eliminated the adjustment provision under which the number of underlying shares moved in line with changes in the fully diluted total of issued shares. The number of potential shares under the remaining rights was fixed at 319,464,000.
The same filing records that current holders agreed to a five-year restriction on sale or transfer of common shares acquired upon exercise. The lock-up runs from August 18, 2026 through August 17, 2031, subject to limited exceptions such as succession on death. Holders also expressed an intention to transfer a portion of the rights into a longer-term officer and employee incentive vehicle rather than create additional potential shares.
On August 31, 2026, Metaplanet announced that Gerovich had exercised 92,000 of the rights on August 28. The exercise produced 64,032,000 common shares. His personal holding rose from 15,555,500 shares to 79,587,500 shares. The newly issued shares are subject to the same five-year lock-up and, in principle, may not be sold or transferred until August 17, 2031. The notice specifies that the total excludes remaining unexercised rights and shares held by joint holders.
The original plan had set the award pool by reference to 20% of fully diluted share capital rather than a fixed share number. As the company issued new stock, the potential size of the pool increased. The August amendment stopped further automatic expansion but left the pool at the enlarged fixed figure rather than restoring an earlier count.

CEO statement on communication and MMXX
On September 6, Gerovich published a statement on X addressing communications and structure. He wrote that the company had “not done a good enough job of explaining how our structure and decisions are designed to create long-term value for all shareholders.” He said leadership and shareholders share an interest in alignment, transparency, and governance.
Gerovich pointed to the August 18 changes—eliminating the adjustment provision, fixing the share count, and adding lock-up measures—and added that the company is continuing to review governance and compensation policies and will share updates when that work is complete.
On MMXX Ventures, Gerovich stated: “MMXX is a shareholder in Metaplanet, and I am a significant but non-majority shareholder of its parent company. I am neither a director nor officer of MMXX, and have no role in its investment or trading decisions.” He said he would speak to decisions made at Metaplanet.
MMXX Ventures Limited appears in earlier company documents as an allottee and shareholder, including materials connected to a 2023 extraordinary general meeting. Gerovich’s post did not publish a full ownership breakdown of MMXX’s parent.
Trading on September 8 extended a multi-session decline after the public note. The company has not issued a further official filing that resets the 10th Series pool to its size at the start of the Bitcoin treasury program. Filings remain available on the Metaplanet disclosures page and through the Tokyo Stock Exchange timely disclosure system.
