Shares of Trump Media & Technology Group (TMTG) Corp. (Nasdaq: DJT) closed at $9.39 on August 10, 2026, down $0.82 or 8.03% according to Nasdaq market data as of 4:00:01 p.m. EDT. In overnight trading as of 2:06:49 a.m. EDT on August 11, the shares were indicated at $9.33, down an additional $0.06 or 0.64%. The decline occurred on the same day TMTG reported a net loss of $238.1 million for the second quarter ended June 30, 2026, on revenue of $1.7 million, in its Form 10-Q filed with the U.S. Securities and Exchange Commission (SEC) on August 10. 

The net loss compared with a $20.0 million net loss in the year-earlier period. Revenue rose 89% from $0.9 million in the second quarter of 2025. Basic and diluted loss per share was $0.86, compared with $0.08 a year earlier. As of August 7, 2026, the company had 277,941,274 shares of common stock outstanding.

The company reported that a substantial portion of the quarterly loss reflected non-cash items, including $190.4 million of unrealized losses on digital assets, digital assets pledged and equity securities, as well as $11.7 million of accreted interest and $8.1 million of stock-based compensation. Cash used in operating activities totaled $13.7 million and included $25.6 million in legal expenses, primarily related to legacy litigation that the company said has been substantially resolved. Adjusted EBITDA loss, a non-GAAP measure, was $223.5 million.

TMTG closed the quarter with total assets of $2.0 billion and company-defined financial assets of approximately $1.9 billion. The company says this non-GAAP measure comprises cash, restricted cash, short-term investments, equity securities, note receivable and accrued interest, digital assets, and digital assets pledged.

Digital asset holdings and subsequent activity

As of June 30, 2026, the company held 9,477.16 Bitcoin with a fair value of $557.1 million (cost basis approximately $1.01 billion) and approximately 756.1 million Cronos tokens with a fair value of $40.6 million. The combined fair value of those digital assets was $597.7 million. Additional Bitcoin was pledged: 2,077.34 BTC for an options strategy and 4,260.73 BTC as collateral for convertible notes.

In subsequent-event disclosures in the Form 10-Q, TMTG reported that it sold $159.6 million of Bitcoin-related equity securities in July 2026 and used the proceeds to acquire Bitcoin directly. As of July 31, 2026, TMTG held approximately 14,139 Bitcoin, including pledged Bitcoin, with an aggregate fair market value of $890.5 million based on a reference price of $62,982 per Bitcoin, the price reported for the principal market at 4:00 p.m. Eastern Time on that date.

The company said it is implementing a digital-asset treasury management framework intended to manage volatility while maintaining long-term exposure to digital assets. Management has used derivative instruments, including covered call and put options on Bitcoin, as part of its treasury approach.

Recent strategic shifts

On August 7, 2026, three days before the earnings release, Trump Media, Crypto.com, and Yorkville Acquisition Corp. jointly announced the mutual termination of their previously announced proposed business combination to establish Trump Media Group CRO Strategy, Inc. 

The parties said the termination reflected prevailing market conditions and changing business and stakeholder priorities. The termination was formalized in a Mutual Termination and Release Agreement filed with the SEC.

The agreement ended plans for a publicly traded CRO-focused digital asset treasury vehicle and a related limited servicing partnership for certain anticipated ETF offerings. The company’s existing Truth Social Funds and America First ETF arrangements were not part of the terminated transaction. 

Interim CEO Kevin McGurn was appointed in April 2026. TMTG continues to pursue its proposed merger with TAE Technologies, which the company has targeted for the fourth quarter of 2026, subject to regulatory and other closing conditions. 

Truth API and other developments

On August 1, 2026, TMTG launched Truth API, a business-to-business data feed subscription that provides licensed low-latency access to publicly available posts from certain top Truth Social accounts. 

In its August 10 earnings materials, TMTG said it had signed more than 10 customer agreements and that the product had begun generating revenue. On the earnings call, management said early customers were primarily high-frequency trading firms and described monthly fees ranging from $60,000 to $100,000. Those customer and pricing figures are company disclosures and are presented as such; they are not independently characterized here as market-wide pricing.

Before the launch, Rep. Ritchie Torres (D-N.Y.) sent a letter to SEC Chair Paul Atkins requesting that the agency review potential securities-law, trading and conflicts-of-interest issues associated with Truth API. The letter also asked the SEC to coordinate with the Commodity Futures Trading Commission and the Office of Government Ethics regarding potential risks associated with trading around presidential social-media posts. A Trump Media spokesperson responded that Truth API offers “the fastest way to ingest publicly available Truth Social data,” with the underlying information remaining publicly accessible. 

The product’s launch and the company’s Q2 financial results occurred against the backdrop of TMTG’s broader digital-asset treasury strategy. The company reported $190.4 million of unrealized losses on digital assets, digital assets pledged and equity securities for the quarter.

McGurn said in the company’s August 10 press release that TMTG had “sharpened” its strategic direction and changed its approach to capital allocation. He also said the proposed TAE Technologies merger was a key long-term priority for the company and that Truth API had begun generating revenue, with more than 10 customer agreements signed. TMTG also said Truth+ had entered full commercial availability and that Truth Social was entering an expanded content phase.

For the six months ended June 30, 2026, the company reported revenue of $2.5 million and a net loss of $644.0 million, according to its Form 10-Q.

DJT shares fell 8.03% on August 10, the same day TMTG released its second-quarter results. The available disclosures establish the timing of the stock move and the earnings release; they do not, by themselves, establish that the earnings results caused the share-price decline.
