Ripple-backed XRP treasury company Evernorth has pushed back the expected market debut of its publicly traded shares by several days, citing an administrative delay that the company said is not expected to affect the closing of its business combination with Armada Acquisition Corp. II.
In an October 6 SEC filing, Evernorth said the transaction is now expected to close on or about October 9, subject to customary closing conditions. Its Class A common stock is expected to begin trading on Nasdaq under the ticker XRPN on or about October 12.
The company had previously expected the business combination to close on October 7, with Nasdaq trading beginning October 8. Armada II shareholders approved the merger on September 30, but shareholder approval did not by itself complete the transaction. Evernorth also reiterated the revised schedule on its verified X account, saying the administrative delay was not expected to affect the closing. Both the closing date and trading debut remain subject to the conditions outlined in the SEC filing.
What Evernorth Is
Evernorth Holdings is merging with Armada Acquisition Corp. II, a special-purpose acquisition company, to create a publicly traded digital-asset treasury focused on XRP. Following completion of the transaction, the combined company’s Class A common stock is expected to trade on Nasdaq under XRPN.
The company is led by founder and CEO Asheesh Birla, a former Ripple executive. Its investors include Ripple, SBI Group, Arrington Capital, Pantera Capital, Kraken, and GSR, among others. The transaction and related private placements have raised more than $1 billion, according to Evernorth. The company expects approximately $300 million in gross cash proceeds from the transaction, including $225 million from related private placements, $30 million of incremental convertible note financing and approximately $48 million of trust proceeds, before transaction expenses. Investors have also contributed XRP in kind.
At closing, Evernorth expects to hold approximately 473 million XRP. The company has described the resulting vehicle as the largest publicly traded pure-play XRP treasury company. Because that characterization comes from Evernorth, The Crypto Times is attributing it rather than presenting it as an independent ranking.
Evernorth’s stated strategy is to pursue measures designed to increase its XRP per share over time through yield strategies, ecosystem participation and capital-markets activities. The company has said going public will provide investors with a regulated and transparent structure for XRP exposure.
The Road to Nasdaq
Evernorth first filed its Form S-4 registration statement with the SEC in March, before the registration statement was declared effective in August and the shareholder vote was scheduled for September 30. Evernorth also filed an 8-K covering $30 million in convertible notes tied to the Armada II transaction as part of the financing surrounding the planned combination.
The September 30 shareholder vote cleared the transaction’s shareholder-approval requirement. Evernorth and Armada II subsequently expected the deal to close on October 7 and XRPN to begin trading on October 8. That timetable was revised in the October 6 SEC filing.
The latest filing does not identify a problem with the underlying transaction. Instead, it says the revised schedule resulted from an “administrative delay” that is not expected to affect closing. The filing nevertheless makes clear that the October 9 closing and October 12 trading start remain conditional.
The XRP Treasury
Evernorth’s planned treasury is central to the public-market thesis behind the transaction. The company expects to hold approximately 473 million XRP at closing, with the holdings coming through a combination of XRP contributions and purchases associated with the transaction.
The company’s materials say the strategy is intended to grow XRP held per share through yield strategies, ecosystem participation and capital-markets activities rather than simply holding a static XRP balance.
That structure also means the company’s financial exposure will be closely tied to XRP. Changes in XRP’s market value can affect the value of the assets held by the company, while the market price of XRPN shares can trade independently of the underlying value of those holdings.
A public company holding a concentrated digital-asset treasury can also face additional corporate and financing considerations, including dilution, financing costs, execution risk and the possibility that its shares trade at a premium or discount to the value of its underlying assets.
$30 Million Convertible Financing
The transaction includes $30 million of incremental convertible note financing, which Evernorth and Armada II identified as part of the approximately $300 million in gross cash proceeds expected from the business combination and related private placements.
The financing is separate from the XRP contributed in kind by investors and forms part of the broader capital structure surrounding the planned public company.
The transaction’s financing arrangements have helped take the total capital raised by Evernorth and related private placements above $1 billion, according to the company.
XRP Market Backdrop
The revised listing timetable comes as XRP trades amid broader weakness across the cryptocurrency market. XRP was trading around $1.44 on October 7 at 11:44 AM UTC, according to CoinGecko market data, with the token down 4.5% on the day. The move came alongside weakness across major cryptocurrencies rather than providing clear evidence of a market reaction specifically tied to Evernorth’s listing delay.
For Evernorth, XRP’s price remains an important variable because the company’s planned treasury is concentrated in the token. A decline in XRP can reduce the market value of the assets on its balance sheet, while a rise can increase their value. That does not, however, guarantee a corresponding move in XRPN shares once trading begins.
What Comes Next
The immediate milestones are now straightforward: Evernorth expects the Armada II business combination to close on or about October 9, followed by an expected XRPN trading debut on or about October 12. Both remain subject to customary closing conditions and Nasdaq listing requirements.
The delayed debut also gives investors another point at which to assess the digital-asset treasury model. Once XRPN begins trading, the market will determine how the company’s equity is valued relative to its XRP holdings, financing structure and strategy for increasing XRP per share.
