Strive Inc., a Bitcoin treasury company co-founded by American entrepreneur and politician Vivek Ramaswamy, announced it bought another 1,107 Bitcoin (BTC) last week, taking its corporate treasury above 27K BTC.
The Dallas-based firm disclosed the purchase in a Form 8-K filed with the U.S. Securities and Exchange Commission (SEC) on September 28, 2026. The coins were acquired between September 21 and September 25 at an average price of approximately $85,396 per BTC, inclusive of fees and expenses. The latest purchase put the firm’s total holdings at 27,462 BTC as of September 28.
According to the filing, Strive’s cash and cash equivalents rose from $229.6 million on September 18 to $248.8 million on September 25, an increase of $19.2 million even after the Bitcoin spend.
Strive also held 505,000 shares of Strategy Inc. Variable Rate Series A Perpetual Stretch Preferred Stock (STRC), valued at about $49.8 million, unchanged in share count over the week. Class A common shares outstanding increased by 649,072, to 88,453,685. Class B shares were unchanged at 9,198,036. Effective common shares outstanding therefore rose to 97,651,721. Assumed fully diluted shares, which include options and unvested awards but exclude traditional warrants, increased to 100,776,795.
Shares underlying traditional warrants declined by 460,649, to 25,349,806, consistent with exercises during the period.
How the week was financed
Strive CEO Matt Cole said warrant exercises generated $12.4 million. Including those proceeds, he said 85% of total capital raised during the period came from SATA, Strive’s Variable Rate Series A Perpetual Preferred Stock.
The 8-K shows SATA shares outstanding rising from 11,184,160 to 12,193,180, an increase of 1,009,020 shares. SATA is designed to pay a cash dividend on business days. Investor relations records list recent SATA distributions at $0.0516 per share.
Strive describes itself as a Bitcoin treasury corporation whose stated aims are to accumulate Bitcoin, raise Bitcoin per share, and use Bitcoin as the hurdle rate for capital deployment. Preferred equity, rather than bank debt, is the main amplification tool in that model. The company has previously said it carries no traditional debt against its Bitcoin stack.
The same financing mix appeared in earlier disclosures. A 1,800 BTC purchase in late August and a 469 BTC buy that took holdings to 25,000 BTC were also tied largely to SATA issuance, as was a 1,375 BTC addition reported on September 8.
What the filing does and does not change
The September 28 update does not revise Strive’s stated strategy. It reports another open-market accumulation, a higher cash balance, modest common-share growth, and continued use of preferred stock and warrant proceeds.
Bitcoin’s market price can move sharply, and the 8-K does not assign a live mark-to-market value to the 27,462 BTC. Fair-value swings flow through earnings under current accounting. Dilution from ATM common sales, warrant exercises, and SATA issuance remains part of the capital structure investors must weigh against growth in coins held.
Strive publishes a treasury dashboard for holdings, ASST market data, and SATA coverage metrics. The company, founded in 2022 and listed after a September 2025 reverse merger, is run day to day by Cole. To note, Ramaswamy is no longer an officer or director but remains a significant shareholder.
