Consensys Software Inc. is splitting its business into two independent companies, separating its MetaMask consumer business from its Ethereum infrastructure and institutional operations.
According to the blog published on September 9, Consensys will operate as MetaMask, with Ethereum co-founder Joseph Lubin serving as Chairman and CEO. The infrastructure and institutional business will continue under the Consensys name.
Linea, Consensys’ Ethereum Layer 2 network, will remain part of the Consensys business.
The restructuring changes the corporate structure behind the two businesses while keeping their existing products and services in place.
MetaMask becomes independent consumer business
MetaMask will operate as a standalone company focused on self-custody, digital assets, and consumer financial products.
Its recent products have expanded beyond basic wallet functions into areas including spending, earning and access to financial markets.
Lubin said the restructuring reflects the different markets served by MetaMask and Consensys.
“What changes is our focus on what MetaMask can become.”
The company has reported more than 100 million downloads across roughly 190 countries.
Money account adds consumer financial services
The separation follows MetaMask’s recent move into consumer financial services.
In June, MetaMask launched its Money Account, a self-custodial product that allows users to earn yield on eligible stablecoins, spend through the MetaMask Card, and access markets including crypto, stocks, ETFs, and prediction markets.
The product offered up to 4% APY on certain stablecoin balances, according to MetaMask’s announcement.
The Money Account provides a recent example of MetaMask’s move into financial services beyond its core wallet functionality.
Consensys retains Ethereum infrastructure
The newly structured Consensys will continue operating the company’s Ethereum infrastructure and institutional businesses.
That includes Linea, its Ethereum Layer 2 network, as well as other business-to-business products and infrastructure services.
Lubin will remain Executive Chairman of Consensys while separately leading MetaMask.
The structure separates MetaMask’s consumer products from Consensys’ infrastructure and institutional operations.
Lubin explains the split
Lubin said the restructuring reflects the different audiences that have developed around the company’s products.
“When we started this work, both of our audiences were hypothetical.”
He pointed to the development of self-custody, stablecoins and tokenized assets on the consumer side, while noting that banks and asset managers have also moved some blockchain projects toward production.
The comments explain the rationale given by Lubin for the restructuring but do not establish a particular commercial outcome from the separation.
MetaMask uses ‘Open Money’ to describe its strategy
MetaMask is using “Open Money” to describe its consumer strategy following the separation.
Lubin has described the concept as a financial system based on self-custody, portability and blockchain-based transactions.
“MetaMask exists to unleash one paradigm-shifting, disruptive technology: Open Money.”
The company says the strategy involves tools for holding, moving and using assets across different blockchain networks.
Some of these plans remain part of MetaMask’s stated strategy rather than services currently available to all users.
Dan Finlay’s departure came before the split
The corporate restructuring follows another recent leadership change at MetaMask.
In April, MetaMask co-founder Dan Finlay announced that he was leaving Consensys after more than a decade with the company. Finlay cited burnout and a desire to focus on his personal life.
What changes for MetaMask users
For existing users, the immediate impact is limited.
MetaMask said users will keep their existing assets, private keys, and account access. No changes to those holdings or credentials are required as part of the separation.
The main change is the corporate structure behind the products. MetaMask will operate independently as the consumer business, while Consensys will continue its work on Ethereum infrastructure and institutional applications.
The effect of the separation will become clearer as the two companies operate independently.
