Strategy Inc, the Bitcoin treasury company formerly known as MicroStrategy, announced on October 16, 2026, that it has conditionally declared daily dividends on its Variable Rate Series A Perpetual Stretch Preferred Stock (STRC) for every calendar day from November 1 through November 30, 2026.
The declaration maintains the existing 12% annual dividend rate and remains subject to shareholder approval of the daily dividend amendments at a special meeting scheduled for October 28. Once approved and effective, every calendar day, including weekends and holidays, would serve as a record date, with payments on the next business day, as detailed in company materials and related filings.
This move builds on the company’s ongoing refinements to its preferred securities, which form a core part of its capital structure supporting Bitcoin accumulation. Strategy has positioned STRC as a digital credit instrument designed to deliver dollar-denominated income with relatively lower volatility compared to its common stock, while proceeds from such issuances historically fund additional Bitcoin purchases for the corporate treasury, consistent with its long-term Bitcoin treasury approach.
Conditional November Dividends and the Path to Daily Accruals
The conditional declaration aligns with prior board actions outlined in a September 30, 2026, Form 8-K filing with the U.S. Securities and Exchange Commission (SEC). In that filing, Strategy maintained the STRC regular dividend rate at 12% per annum for semi-monthly periods commencing on or after October 16, 2026.
It declared a $0.50 per share cash dividend for the period ending October 31, 2026, payable on that date to holders of record as of October 15. A corresponding $0.50 dividend for the period ending November 15, 2026, was declared payable on November 15 to holders of record as of October 31, unless a specific Contingent Dividend Condition is met.
Under that condition, the November 15 semi-monthly dividend would not be paid if stockholders approve the Daily Dividend Amendments by 5:00 p.m. New York time on October 31 and the related amended and restated certificate of designations for STRC became effective by 12:01 a.m. Eastern time on November 1.
In that case, the company intends to declare regular daily dividends for each calendar day in November at the same 12.00% annual rate, payable the next business day, subject to board declaration and available funds. Official company explanations on its investor site emphasize that the annualized rate itself remains unchanged; holders would simply receive smaller amounts more frequently.
Voting on the broader proposal, which extends similar daily accrual mechanics to STRC as well as the company’s other U.S.-listed preferred stocks (STRF, STRK, and STRD), is open to common stockholders of record as of September 25, 2026. The definitive proxy was filed earlier in October, with the special meeting set for October 28.
For STRC specifically, approval would shift the cadence from its current semi-monthly schedule—itself approved by shareholders in June 2026—to daily record dates beginning November 1, with the first potential payment on November 2. The other preferred series would transition later, starting in January 2027. Company materials note that the change would occur automatically for holders if approved, with no further action required beyond continued ownership in line with the securities’ terms.
Supporting Price Stability Amid Bitcoin Treasury Expansion
Strategy has framed the proposed frequency increase as a step to support price stability for STRC near its $100 stated amount, reduce reinvestment lag for holders, enhance liquidity by lessening timing considerations around entries and exits, and improve market efficiency. These points appear in the company’s official proposal page and related investor communications, which also highlight potential benefits for overall demand and competitive positioning among digital credit instruments.
The approach continues a pattern of iterative adjustments; earlier in 2026, shareholders approved a move from monthly to semi-monthly dividends on STRC, with company leadership noting at the time that more frequent payments were intended to stabilize pricing and expand appeal.
As of mid-October 2026, Strategy reported holding 848,250 Bitcoin, representing roughly 4% of the total Bitcoin supply, acquired at an average cost in the mid-$75,000 range according to company updates. Recent activity has included both modest additional Bitcoin purchases and substantial repurchases of STRC shares, consistent with a stated policy of supporting trading closer to par while maintaining a USD reserve to cover preferred dividend and debt obligations.
The company has described its overall structure as pairing amplified Bitcoin exposure via common equity (MSTR) with income-oriented preferred claims such as STRC, which ranks ahead of common stock for dividends and in liquidation but does not convey direct ownership of the underlying Bitcoin, a model examined in analyses of corporate Bitcoin treasury strategies.
These developments occur within Strategy’s broader evolution from a business intelligence software firm to the world’s first and largest publicly traded Bitcoin treasury company, a positioning it formalized with a legal name change to Strategy Inc in August 2025 following an earlier branding shift.
The preferred securities, including the variable-rate STRC that adjusts periodically based on factors such as trading levels, market yields, and reserve coverage, have become central tools for accessing capital while pursuing long-term Bitcoin accumulation. Investors following the October 28 vote will monitor both the outcome and subsequent board declarations for any impact on the precise timing and scale of November distributions.
