Metaplanet Shares Fall 3.86% as Firm Proposes ¥27.8B Capital Cut & Hong Kong Unit

Metaplanet proposes cutting its ¥27.8 billion capital stock to ¥1, with shareholder approval scheduled for December 18.

Metaplanet Shares Fall 3.86% as Firm Proposes ¥27.8B Capital Cut & Hong Kong Unit

Metaplanet Inc., the Tokyo Stock Exchange-listed Bitcoin treasury company trading under ticker 3350, closed at ¥249 on Friday, September 11, 2026, down ¥10 or 3.86%, after its board of directors filed four separate resolutions in a single afternoon. 

Beyond the Series 10 stock acquisition rights amendment that circulated most widely on social platforms, the disclosures include a shareholder proposal to reduce the firm’s capital stock to ¥1, plans for a wholly owned Hong Kong asset-management unit, and an immediate change of Chief Financial Officer (CFO). 

The company holds 43,000 Bitcoin (BTC). Separately, its Florida subsidiary is pursuing a controlling stake in Nasdaq-listed Super League Enterprise, Inc., which is slated to be renamed Superplanet, Inc. if the deal closes.

The session opened at ¥244, printed a session low of ¥243 and a high of ¥252, and turned over roughly 12.5 million shares, a figure that sat below the recent average. MarketWatch timestamped the close at 3:30 p.m. Japan Standard Time (JST), and after-hours trading on the Proprietary Trading System (PTS) later printed around ¥264.

According to Kabutan, Metaplanet’s market capitalization sat near ¥319 billion, its price-to-book ratio (PBR) at 0.94, and the margin-trading ratio at 42.46 as of the week ended September 4, 2026, with 43.6 million shares on the buy side against 1.03 million on the sell side.

The 52-week range spans ¥192, recorded on July 1, 2026, to ¥662, marked on October 6, 2025. Month-to-date, the stock is down roughly 20%from the September opening print of ¥316.

Capital stock to ¥1: what the December 18 EGM would decide

The largest of the four filings was a Tokyo Stock Exchange (TSE) Timely Disclosure Network (TDnet) notice proposing a capital stock reduction and disposition of surplus, resolved by the board on September 11, 2026. 

If shareholders approve the plan at an Extraordinary General Meeting (EGM) scheduled for Friday, December 18, 2026, at 10:00 a.m. JST, the company would reduce its capital stock from ¥27,803,501,261 recorded as of August 31, 2026, to ¥1, with the ¥27,803,501,260 remainder transferred to other capital surplus. 

The entire capital reserve of ¥27,803,501,260 would move to zero on the same basis. A further ¥1,805,472,467 of that surplus would then be transferred to retained earnings brought forward to offset the accumulated deficit carried at December 31, 2025.

The filing states that the number of issued shares, each shareholder’s ownership ratio, and total net assets remain unchanged by the reclassification. The stated purpose is to increase the distributable amount by transferring capital stock and capital reserve to other capital surplus, thereby facilitating future dividend payments on class shares, acquisitions of treasury shares, and other similar measures. 

The record date for voting is Wednesday, September 30, 2026; the creditor objection window closes Wednesday, December 16, 2026; and the effective date of the reduction is Wednesday, December 30, 2026. The EGM will be held virtually only, with no physical venue, under Article 14 of the Articles of Incorporation.

The move follows earlier class-share activity. Metaplanet’s interim accounts filed on August 13, 2026 recorded Class B preferred share dividends of ¥9 million effective January 31, 2026 and ¥289 million effective April 15, 2026, both paid out of capital surplus. The December vote would clear Japanese legal space for common-share policy, class-share policy, and buybacks to sit on a cleaner retained-earnings line.

Metaplanet Asset Management Asia Limited: the Hong Kong desk

The board separately approved the establishment of Metaplanet Asset Management Asia Limited, a wholly owned Hong Kong unit capitalized at $1 million and scheduled for incorporation in September 2026. Named directors include Chief Executive Officer (CEO) Simon Gerovich, Darren Winia, and Kelvin Lee. 

Metaplanet said the Hong Kong subsidiary sits under “Project Nova,” the group’s plan to build a Bitcoin-centered platform spanning asset management, securities, and capital markets.

The mandate covers proprietary and client capital, deployed across multi-strategy books in Bitcoin, Bitcoin-related equities, preferred securities and other credit products issued by Bitcoin treasury companies, along with derivatives, structured income, index products, and related liquid instruments. It complements Metaplanet Asset Management Inc., the Miami-based U.S. subsidiary opened in March 2026. 

The company stated that the impact on consolidated results for the fiscal year ending December 31, 2026 is expected to be minimal. Miami retains U.S.-centered portfolio work, while Hong Kong is designed to run Asian-hours execution, position monitoring, and risk management. 

Metaplanet earlier acquired Siiibo Securities in 2026 for approximately ¥2.1 billion, and that platform is set to operate as Metaplanet Securities, forming the domestic broker leg of the same Project Nova framework alongside the recently disclosed BitBonds program.

Okuno replaces Ikurumi as CFO, effective September 11

The board also announced a change of executive officers effective September 11, 2026. Shinpei Okuno, previously Executive Officer, Capital Markets and Investor Relations, was appointed Executive Officer and CFO. He will oversee financial strategy, capital policy, financing, and investor relations, according to the notice. 

Yoshihisa Ikurumi, who had served as Executive Officer and CFO since 2015 when the firm operated as Red Planet Japan, transitions to Executive Officer, Director of Administration and Investor Relations. The company said Ikurumi will use his finance and administration experience to strengthen the group’s administrative framework.

CEO letter, governance push, and pending Super League deal

CEO Simon Gerovich published an English-language letter to shareholders at 11:53 UTC on September 11, 2026, followed by a Japanese-language version at 13:55 UTC. In the letter, Gerovich stated that five new directors have been added across the March 2025 and March 2026 annual meetings, and that nine of ten current board members are independent outside directors, including individuals from global audit firms, law firms, and financial institutions. 

He said the firm has scaled hiring across accounting, legal, compliance, operations, and technology over the past 18 months, and that a leading global compensation consultant will design a new hire plan.

Gerovich also referenced “the pending acquisition of a controlling stake in Super League Enterprise, a Nasdaq-listed company,” describing Metaplanet as “the only non-U.S. company among the top 16 global Bitcoin treasury platforms.” Under the definitive agreement signed on August 18, 2026, Metaplanet Holdings, a Florida subsidiary, will subscribe for newly issued Super League common stock, warrants, and convertible perpetual preferred stock, contributing 2,100 BTC in kind plus $2.5 million cash. 

Expected voting control at close sits at approximately 95.7%, with the entity slated to trade on Nasdaq as Superplanet, Inc. under ticker SUPA in the fourth quarter of 2026, subject to a Super League stockholder vote and regulatory clearance in both Japan and the United States.

Sector classification and shareholder reception

Yahoo Finance still lists Metaplanet under Consumer Cyclical, Restaurants industry, with a Hotel Business segment and a Bitcoin-related segment, trailing twelve-month earnings per share (EPS) of minus ¥293.91, and an average analyst price target of ¥596 against a market price near ¥250. 

The United States over-the-counter (OTC) line MTPLF last showed about $1.61. That legacy sector tag remains attached even after the firm accumulated 43,000 BTC, opened Miami-based Metaplanet Asset Management Inc., set up the Hong Kong desk, acquired Siiibo Securities, and moved toward the Superplanet close.

Reaction on X was split. Some shareholders described the governance moves as meaningful steps toward institutionalization, while others said the package fell short of addressing prior dilution tied to the Series 10 rights, which the Crypto Times reported was cut by 41.1% on the same afternoon. 

Investor Derin Olenik (@BigpictureBTC) said headline concessions still left holders diluted from prior issuances. Tokyo’s first response to the four filings was a lower close, though the PTS bid the stock higher in after-hours activity.

The next dated event on the calendar is the September 30 record date for voting, followed by the December 18 EGM. The vote will determine whether the ¥27.8 billion capital-stock reduction proceeds, not whether Metaplanet acquires more Bitcoin.
