Strategy Inc. to Raise $715M to Increase Bitcoin Holdings

Strategy Inc. to Raise $715M to Increase Bitcoin Holdings

Strategy Inc., a software firm led by billionaire Michael Saylor, announced today that it has priced its initial public offering of 10% Series A Perpetual Stream Preferred Stock, known as STRE.

The company said the offering will raise about €620 million ($715 million) and will officially close on November 13, 2025, after getting final approvals. The raised money will be used to expand the business and purchase more Bitcoin (BTC) as part of its plan.

Strong demand lifts the offering size

The offering includes 7.75 million shares priced at €80 each. The total amount raised is higher than the company’s previous plan of €350 million because more investors wanted to take part. After paying all fees and expenses, Strategy expects to keep around €608.8 million ($702.2 million). The company based these numbers on the euro-to-dollar rate of €1.00 to $1.1534, as reported by the company.

Additionally, Strategy stated that the funds will be used for daily operations, expansion, and to increase its BTC holdings. The company has become one of the largest Bitcoin holders among public firms.

10% annual dividend with quarterly payouts

Each STRE share comes with a 10% yearly dividend. This means investors will get €10 for every €100 of share value each year. The dividends will be paid in cash four times a year, on March 31, June 30, September 30, and December 31, beginning December 31, 2025. If the company misses any payment, the amount will increase every quarter by 1%, up to a maximum of 18%.

Investors are also given protection in case of any change in the company. If Strategy merges or is sold, shareholders can ask the company to buy back their shares for €100 each, plus any unpaid dividends. Each share’s value is also protected with a liquidation preference of €100, which adjusts daily based on market activity.

Several top banks, including Barclays, Morgan Stanley, Moelis & Company, TD Securities, Canaccord Genuity, and StoneX Financial, will handle the offering. The stock is registered with the U.S. Securities and Exchange Commission (SEC) and will only be sold to qualified investors in Europe and the U.K.
